Required Legal Counsel
Responsibilities
Provide legal support on various commercial and contractual matters, including customer sales agreements, business partner agreements, IP-related agreements, NDAs, procurement, vendor, and service provider agreements.
Provide legal support on various corporate matters, including drafting and maintaining board and shareholder resolutions, consents, meeting minutes, and related materials, and assist in managing the global corporate structure of the group.
Support compliance and governance for the global group.
Assist with executing financing rounds and M&A transactions, including conducting due diligence, reviewing transaction documents, and supporting post-closing activities.
Providing legal support on ESOP and employment-related matters to HR and Finance departments.
Collaborate with key stakeholders and cross-functional teams (including business and sales, HR, finance, corporate development, R&D, and operations).
Work with outside counsel in numerous jurisdictions.

Requirements:
Law degree (LL.B or J.D.) with active bar membership in at least one jurisdiction.
6+ years of experience in a high-tech/M&A/corporate group of a top-tier commercial law firm and/or as an in-house lawyer in a legal department of a high-tech company (3 years of experience in a top-tier commercial law firm is a must; in-house experience is a significant plus).
Proven experience in complex commercial contract negotiation.
Meticulous and thorough, analytical thinker with a problem-solving mindset, and strong execution skills.
A real team player with exceptional communication and interpersonal skills across all channels.
Ownership of fast-paced projects with rapidly shifting priorities and manage them to completion.
Ability to speak and write English fluently (additional language an asset).
